The process is leverage
Dispute clauses are not just lawyer language. They decide whether a shop can realistically enforce the deal.
If the GC gets the only vote on process, or the forum is expensive and inconvenient, your practical leverage drops even if your claim is strong.
What fair looks like
Ask for mutual rules. If arbitration is required, it should be mutual, local, and proportionate to the claim size.
Also preserve payment remedies. A dispute process should not quietly waive lien rights, payment bond rights, prompt payment remedies, or the ability to seek emergency relief.
